1. General
The following terms of sale and delivery apply to the tasks that a customer requests DAN-EYE ApS to perform, unless otherwise agreed in writing between the parties.
2. inspection
DAN EYE ApS must always receive - or in cooperation with the client prepare - an order entry describing the contractual conditions for carrying out the inspection.
DAN-EYE ApS does not perform services that violate safety and legal regulations.
In addition, DAN-EYE ApS reserves the right to refuse to fulfill an order that is otherwise irresponsible or inappropriate.
The assessment of the above is the responsibility of the inspector who is to perform the task in question. In the event that the inspector does not wish to perform the task, the customer and DAN-EYE ApS' management will be contacted.
Corrections or additions to reports already issued must be recorded and justified.
3. Fees and invoicing
When placing an order, there must be a mutual understanding of the cost of carrying out the inspection.
The client is obliged to pay for DAN EYE ApS' work, regardless of whether the expected results are achieved.
The client's tasks are performed as invoice work, unless otherwise agreed.
Invoice amounts are due for payment net 8 days from the invoice date. In case of late payment, a fee of DKK 100.00 and default interest of 2% will be charged from the expiry of the payment deadline and until payment is made.
DAN EYE ApS' receivables for inspections carried out cannot be offset against DAN EYE ApS' receivables.
Invoicing takes place when the work is done and the services are delivered to the customer.
4. Confidentiality
DAN-EYE ApS undertakes to treat all information received from or about customers and their circumstances confidentially.
All employees are obliged to ensure the confidentiality of all information acquired during the inspection activities. Employees also undertake to comply with this requirement by signing a declaration of impartiality.
Before the inspection is carried out, it is agreed with the customer who may receive information about the inspection and in what form it is to be reported. Information about the inspection will not be disclosed to anyone other than the customer without the customer's consent.
However, DAN EYE ApS readily meets official requirements for insight into the inspection activities by forwarding or handing out copies of inspection reports, and does not seek to classify the material as confidential without special agreement with the client.
DAN EYE ApS' inspection reports are provided in their entirety and may only be published in connection with the above as such.
5. Complaints and objections
If a customer has objections to an inspection report or other service, this must be reported immediately to DAN-EYE ApS' management.
DAN-EYE ApS management will contact the customer as soon as possible to discuss the complaint/objection. The complaint is analyzed by the management of DAN-EYE ApS, and a decision is then made as soon as possible on whether and how the matter should be remedied.
DAN-EYE ApS will inform the customer about the final assessment of the complaint, which is accompanied by a report on the course of events and conclusion in the case.
If remediation is required, it is agreed in consultation with the customer how corrective actions or other remediation will be carried out.
In the event of an inspection report complaint, the inspection report is revoked, canceled, and archived. If a new inspection report is created as a replacement, it must reference the archived report.
6. Accreditation of DANAK
DANAK has with INSP. reg. No. 9101 accredited DAN EYE ApS. as a Type A inspection body.
The accreditation also means that DAN EYE fully complies with the requirements of DS/EN ISO/IEC 17020, as the accreditation also sets specific requirements for staff competencies and impartiality.
This means that the company and its personnel responsible for performing inspections must not be the designer, manufacturer, supplier, installer, purchaser, user or repairer of the items being inspected or the authorized representative of any of these parties.
The company's management and its personnel are therefore independent of any commercial, financial or other pressure that may influence its technical judgment.
Therefore, the Company does not engage in any activity that may threaten the credibility of its independent judgment and integrity in connection with the inspection activities.
Furthermore, the company and its personnel must not engage in any activity that may conflict with the independence of our judgment and our integrity in relation to our inspection activities.
A large part of the sampling and inspections performed by DAN EYE are therefore accredited by DANAK and will be delivered as accredited services to the extent that DAN EYE is accredited, illustrated by DANAK's logo appearing in the inspection report.
However, DAN EYE also does not provide accredited services.
7. Right of withdrawal
There is no right of withdrawal on the work or services ordered by the customer from DAN-EYE ApS
8. Insurance
DAN EYE ApS has taken out insurances to cover property damage and personal injury (professional liability) of inspectors deployed by DAN EYE for the inspection activity.
9. Disclaimer of liability
DAN-EYE ApS is liable for the assistance provided to customers according to the general rules of Danish law. Our terms and conditions include a limitation of our liability to 10 times the fee paid. However, a claim for damages against DAN-EYE ApS can never amount to more than DKK 500,000.00.
DAN-EYE ApS is not liable for indirect losses or consequential damages, including operating losses, lost profits, etc.
10. Subcontractors
DAN-EYE ApS is entitled to let others perform tasks on behalf of DAN-EYE ApS in whole or in part.
11. other agreements with the client
These terms also apply to other and subsequent agreements between DAN-EYE ApS and the client, unless otherwise agreed or clearly stated in the circumstances.
12. Disputes
Any dispute arising from an agreement between the customer and DAN-EYE ApS relating to these terms of sale and delivery shall be settled by Danish law at DAN-EYE ApS venue at the Court in Hjørring.
